Subject/Title: Adopt a Resolution approving the standard Brentwood Grown License Agreement and authorize the City Manager or designee to execute agreements between the City of Brentwood and local farmers and producers.

RECOMMENDATION
Adopt a Resolution approving the standard Brentwood Grown License Agreement and authorize the City Manager or designee to execute agreements between the City of Brentwood and local farmers and producers.

PREVIOUS ACTION
On February 26, 2008, the City Council adopted Resolution No. 2008-39, approving the Brentwood Grown certification mark/identity.

BACKGROUND
The City is finalizing its processing of the “Brentwood Grown” certification mark as required by the U.S. Patent and Trademark Office (USPTO). Following the provisional acceptance by the USPTO, the City needed to submit the final Brentwood Grown image, which was authorized by the City Council on February 26, 2008.

Once that was completed, the next step for City staff was to draft the legal language for the standard use agreements between the City and the local farmers and producers interested in using the certification mark. The standard agreement is attached as Exhibit A to the resolution. Among other things, the agreement allows local farmers and producers located within the Brentwood Planning Area to use the image and identity free of charge. The agreement also outlines the appropriate use of the Brentwood Grown image, as well as reporting requirements to ensure consistency with the program’s purpose.

Upon adoption of this agreement by resolution, staff will begin the development of a website – www.brentwoodgrown.com - to educate area farmers and producers about the program. Concurrently, staff will be sending out information through the local agricultural organizations to promote the program as well.

FISCAL IMPACT
For Fiscal Year 2007/08, approximately $3,500 has been spent on legal services related to the completion of the USPTO application and have been budgeted in the Agricultural Administration 262 fund for the 2007/08 Operating Budget. There is no anticipated offsetting revenue for this expense. Costs for special services associated with the development of the Brentwood Grown website are unknown at this time, although it is anticipated to be less than $5,000. Funding for this special service has been budgeted in the Agricultural Administration 262 fund for the 2007/08 Operating Budget and no offsetting revenue is anticipated for this expense.

A RESOLUTION APPROVING THE STANDARD BRENTWOOD GROWN LICENSE AGREEMENT AND AUTHORIZING THE CITY MANAGER OR DESIGNEE TO EXECUTE AGREEMENTS BETWEEN THE CITY OF BRENTWOOD AND LOCAL FARMERS AND PRODUCERS


WHEREAS, on February 26, 2008, the City Council adopted Resolution No. 2008-39, approving the Brentwood Grown certification mark/identity; and

WHEREAS, staff drafted the standard use Agreement between the City and local farmers and producers interested in using the certification mark, attached as Exhibit A; and

WHEREAS, among other things, the Agreement allows local farmers and producers located within the Brentwood Planning Area to use the image and identity free of charge; and

WHEREAS, upon adoption of this resolution, staff will begin the development of a website – www.brentwoodgrown.com – to educate area farmers and producers about the program.

NOW, THEREFORE BE IT RESOLVED, the City Council of the City of Brentwood approves the standard Brentwood Grown License Agreement attached as Exhibit A and authorizes the City Manager or designee to execute agreements, in the form attached, with minor revisions approved by the City Manager in consultation with the City Attorney, between the City of Brentwood and local farmers and producers, and to execute other documents necessary to implement the Brentwood Grown program.
