Subject/Title: Adopt a resolution approving a Memorandum of Understanding between the City of Brentwood (“City”), HPH Properties, L.P. dba Equus Group (“Equus”), the Liberty Union High School District (“LUHSD”), Glenn and Jeannie Stonebarger (“Stonebarger”), Andrew Ghiggeri, Roger Bjornstad and Jo Ann Ghiggeri Bjornstad (“Ghiggeri/Bjornstad”), each of whom is referred to as a “Party” and all collectively as the “Parties” to sign the Memorandum of Understanding.

RECOMMENDATION
Adopt a resolution approving a Memorandum of Understanding between the City of Brentwood (“City”), HPH Properties, L.P. dba Equus Group (“Equus”), the Liberty Union High School District (“LUHSD”), Glenn and Jeannie Stonebarger (“Stonebarger”), Andrew Ghiggeri, Roger Bjornstad and Jo Ann Ghiggeri Bjornstad (“Ghiggeri/Bjornstad”), each of whom is referred to as a “Party” and all collectively as the “Parties” to sign the Memorandum of Understanding.

BACKGROUND
For the past several months the Equus Group, LUHSD, Stonebarger Family, Ghiggeri/Bjornstad Families and City of Brentwood have worked together to establish a mutual understanding to cooperatively develop a business park located within PD-24 and consistent with the General Plan as adopted in 2001. These properties are generally located East of Guthrie Lane, North of ECCID main canal, West of Sunset Avenue and South of the residential development within PD-24.

Construction of this project will allow access to City property for additional parking for the former US Print CD Plant and, if approved by the City Council at a future date, a LUHSD bus barn south of Brentwood’s Police Department.

Properties owned by Glenn and Jeannie Stonebarger (“Stonebarger”), Andrew Ghiggeri, Roger Bjornstad and Jo Ann Ghiggeri Bjornstad (“Ghiggeri/Bjornstad”) are currently being utilized for agricultural use and personal residences.

The Memorandum of Understanding recommended in this Report allows the five interested parties to proceed with the development process for establishing a business park.

FISCAL IMPACT
The MOU does not have any fiscal impact.

CITY COUNCIL RESOLUTION NO.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF BRENTWOOD APPROVING THE MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF BRENTWOOD, HPH PROPERTIES, L.P. DBA EQUUS GROUP, LIBERTY UNION HIGH SCHOOL DISTRICT, GLENN AND JEANNIE STONEBARGER, ANDREW GHIGGERI, ROGER BJORNSTAD AND JO ANN GHIGGERI BJORNSTAD AND AUTHORIZING THE CITY MANAGER TO SIGN THE MEMORANDUM OF UNDERSTANDING.

WHEREAS, construction of a proposed business park will allow access to City property for both parking and future bus barn, as well as, the future campus for LUHSD property if such uses and projects are approved; and

WHEREAS, City staff has been in discussions with HPH Properties, L.P. dba Equus Group (“Equus”), the Liberty Union High School District (“LUHSD”), Glenn and Jeannie Stonebarger (“Stonebarger”), Andrew Ghiggeri, Roger Bjornstad and Jo Ann Ghiggeri Bjornstad (“Ghiggeri/Bjornstad”) to find mutual agreement and understanding regarding a proposed business park; and

WHEREAS, all of the parties to the above discussions have agreed to a memorandum of understanding that will ensure General Approval of Development Layout, Submission for Planned Development Approval, Storm Drainage Requirements and Fees, Sharing of Off-Site Improvement Costs, Construction of Off-Site Improvements and Dedications for Access to LUHSD Parcel; and

WHEREAS, this memorandum is not intended to constitute a binding agreement, but rather to serve as the basis for negotiating and drafting a definitive agreement between the parties containing the terms stated in this memorandum, as well as other terms and conditions to be determined.

NOW, THEREFORE BE IT RESOLVED that the City Council of the City of Brentwood:

1) The Memorandum of Understanding between the City of Brentwood (“City”), HPH Properties, L.P. dba Equus Group (“Equus”), the Liberty Union High School District (“LUHSD”), Glenn and Jeannie Stonebarger (“Stonebarger”), Andrew Ghiggeri, Roger Bjornstad and Jo Ann Ghiggeri Bjornstad (“Ghiggeri/Bjornstad”), each of whom is referred to as a “Party” and all collectively as the “Parties” is approved and the City Manager is authorized to sign the Memorandum of Understanding.

2) That this Resolution is effective upon adoption.

PASSED, APPROVED AND ADOPTED by the City Council of the City of Brentwood at a regular meeting held on the 26th of September 2006 by the following vote:
