Subject/Title: Approve a Resolution approving and authorizing the City Manager to enter into an agreement with Club One at Brentwood to affect additional wellness benefits for City employees at their own expense

RECOMMENDATION
Approve a Resolution authorizing the City Manager to enter into an agreement with Club One at Brentwood to affect additional wellness benefits for City employees at their own expense and authorize City Manager to execute a one year extension if all other provisions remain the same.

PREVIOUS ACTION
Club One and the City entered into an Agreement on December 14, 2004. The period of the Agreement was January 1, 2005 through December 31, 2005.

BACKGROUND
The City of Brentwood received an unsolicited offer to provide corporate membership privileges to all City employees including a waiver of the Single and Add On enrollment fees. This wellness benefit extends to all City employees that work at least 20 hours per week. The initial agreement period will begin January 1, 2006 and terminate, unless extended in writing prior to its termination, on December 31, 2006.

FISCAL IMPACT
There is no fiscal impact to the City as the result of entering into this agreement as employees that elect to participate will pay applicable membership fees.

RESOLUTION NO.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF BRENTWOOD APPROVING AND AUTHORIZING THE CITY MANAGER TO EXECUTE AN AGREEMENT WITH CLUB ONE AT BRENTWOOD TO PROVIDE WELLNESS BENEFITS FOR CITY EMPLOYEES AT THE EMPLOYEES’ EXPENSE

WHEREAS, the City of Brentwood received an unsolicited offer to provide corporate membership privileges to all City employees; and

WHEREAS, Club One at Brentwood desires to provide positive and long lasting partnership with companies in the area seeking long term health and wellness benefits for its employees; and

WHEREAS, the City desires to provide its employees health and wellness benefits at no cost to the City; and

NOW, THEREFORE BE IT RESOLVED the City Council finds that the Club One at Brentwood offer is appropriate and fulfills an objective to providing its employees a health and wellness benefit without cost to the City.

City Council further approves the Agreement for Health Club Membership between City and Club One at Brentwood, a copy of which is on file in the Office of the City Clerk and hereby authorizes the City Manager to execute the subject Agreement. The City Manager is further authorized to execute a one-year extension of the Agreement if all other provisions of the Agreement remain the same.

PASSED, APPROVED AND ADOPTED by the City Council of the City of Brentwood at a regular meeting held on the 8th day of November, 2005 by the following vote:

AGREEMENT FOR HEALTH CLUB MEMBERSHIP
CLUB ONE AT BRENTWOOD.

THIS AGREEMENT made and entered into this ___ day of _________ 2005, by and between the CITY OF BRENTWOOD municipal corporation existing under the laws of the State of California, hereinafter referred to as “CITY”, and CLUB ONE AT BRENTWOOD., a California corporation, hereinafter referred to as "CLUB ONE"

RECITALS

A. CLUB ONE has offered, unsolicited, to provide corporate membership privileges to all CITY employees as an objective of CLUB ONE is to create positive and long lasting partnerships with companies the Central Valley seeking long-term health and wellness benefits for its employees; and.

B. CITY believes that there is a benefit to CITY employees to have access to health and wellness facilities within the CITY and encourages the CITY employees to seek and use such health and wellness benefits; and.

C. This Agreement is intended to set forth the responsibilities of each of the parties.

NOW, THEREFORE, IT IS AGREED as follows:

SECTION 1 – SCOPE OF SERVICES

CLUB ONE shall offer monthly fitness/health club membership to CITY full time employees (a full time city employee shall be defined as any person on the City’s payroll with at least 20 hours per week) at a discount of $2.00 off the monthly rate for a single membership. Eligible add on members (with at least one family member being a full time CITY employee) at a discount of $1.00 off the monthly rate for eligible add on members.

CLUB ONE shall also waive the enrollment fee (normally $200.00) for a City full time employee and the enrollment fee (normally $100.00) for family members if applicable. There shall be at least two open enrollment dates each year, to be agreed upon by CLUB ONE and the CITY.

At no time during the term of this Agreement shall a CITY employee pay a CLUB ONE Enrollment fee. Additional open enrollment times can be requested by the City by writing a request to CLUB ONE with at least 30 days prior to an additional enrollment period and subject to CLUB ONE approval.

CLUB ONE shall be responsible for the cost and distribution of any promotional (posters, flyers, sports bottles, T-shirts, mugs) material or items.

SECTION 2 – TERM

The services to be performed under this Agreement shall commence on January 1, 2006 and terminate, unless extended in writing prior to its termination, on December 31, 2006. The City Manager may execute a one-year written extension of this Agreement if all other provisions of this Agreement remain the same.

SECTION 3—CITY OBLIGATIONS

CITY shall permit CLUB ONE to provide promotional advertisement space on the city employee bulletin boards, subject to approval of the City Manager or her designee. CITY will permit CLUB ONE to submit a brochure into the City’s payroll envelope two times each year. The subject brochure shall be subject to City Manager for approval of content and to ensure that it properly fits into the City’s standard payroll envelope. CITY shall also provide a notice to all its full time employees of this new health club/wellness benefit available to them at the discount stated above for the term of this Agreement.

SECTION 4 – TERMINATION

Without limitation to such rights or remedies, either party to this Agreement shall have the right to terminate this Agreement for any reason upon provided at least thirty (30) days prior written notice to the other party, to the address provided in Section 5 of this Agreement.

SECTION 6 – AGREEMENT CONTAINS ALL
UNDERSTANDINGS; AMENDMENT

This Agreement represents the entire and integrated agreement between City and CLUB ONE and supersedes all prior negotiations, representations, and agreements, either written or oral, except as noted in this Agreement.

This document may be amended only by written instrument, signed by both authorized representatives of City and CLUB ONE.
